Ronald N. Rosenwasser graduated from the University Of Florida School Of Law, with Honors, and the University Of Florida School Of Accounting, with Honors. Mr. Rosenwasser concentrates his practice in developing new franchise systems and serving existing franchise systems in all aspects of their business, including legal compliance, franchisor-franchisee negotiations and relationship management, state franchise registration and renewals, trademark matters, technology, and corporate issues. Mr. Rosenwasser
founded and served as the Chairman of The Florida Bar’s Franchise
Law Committee. He is an editor of The Florida Bar's Franchise Law and
Practice. He also served for many years as the International Franchise
Association’s Director of Franchise Business Network Programs for
South Florida. Mr. Rosenwasser is a former certified public accountant
and developed for the Florida Institute of Certified Public Accountants
its continuing education program entitled "Franchising - Business,
Tax, Financial Statements, Earnings Claims and Other Essential Issues."
Mr. Rosenwasser has written and lectured extensively on franchising and
licensing, as well as other business expansion strategies. His presentations
and articles include "Understanding the Legal Environment for Franchising,"
"International Franchising and Distribution," "Federal
Franchise Law — What Is A Franchise and How Is It Regulated,"
"How to Franchise Your Business," "Franchise Litigation:
Causes of Action, Procedural Issues, Strategies and Ethical Considerations,"
"Structuring Growth Via Distributorships/Dealerships, Company-Owned
Outlets, Licensing Arrangements and Other Non-Franchise Alternatives,"
and "Twilight Zone: Regulated v. Unregulated Licensing, Dealership
and other Business Expansion Methods." Mr. Rosenwasser is a founding
member of The Florida Bar's Franchise Law Committee. He has also served
on the Executive Council of The Florida Bar’s Business Law Section.
Mr. Rosenwasser’s many other affiliations include the International
Trademark Association, International Franchise Association's Council of
Franchise Suppliers, Committee X (International Franchising) of the International
Bar Association, and ABA Forum on Franchise Law.
Walter
Kraslow graduated from Hofstra University School
of Law. Mr. Kraslow subsequently attended New York University School of
Law, from which he received a graduate law degree in constitutional and
criminal law. He has also attended the University of Miami School of Law's
graduate tax program. Mr. Kraslow concentrates in transactional and corporate
practice and has acquired extensive experience in mergers and acquisitions,
real-estate acquisition and development, and franchising and licensing,
as well as other intellectual-property matters, particularly relating
to trademark and technology issues. Mr. Kraslow is a member of various
Bar organizations focusing on business and intellectual property law.
Edward F. Zwick received his B.S. in Economics from the University of Pennsylvania in 1961 and his J.D. cum laude from Union University, Albany Law School, in 1964, where he was editor of the law review and graduated 2nd in his class. Mr. Zwick ahs extensive experience in international business and corporate matters, real estate, mergers and acquisitions and various complex financings. His background includes international licensing and technology agreements, particularly between the U.S. and Europe, Asia and South America. Mr. Zwick has supervised several intellectual property cases, in the areas of defense and prosecution of patent infringement. He has also been active in advising high profile political leaders on international business matters. He is admitted to practice before all courts in Florida and New York. Mr. Zwick was founder and managing partner of Zwick, Friedman & Goldbaum in Boca Raton, Florida from 1976 through 1997. He has also held various management positions, including Corporate Director and Executive Vice President of Oki America, Inc., a wholly-owned subsidiary of Oki Electric Industry Co., Ltd., Tokyo, Japan, a 125 year old, multi-billion dollar public company that manufactures electronics and telecommunications equipment and pioneered the distribution of the first telephone in Japan through a licensing arrangement with Alexander Graham Bell. Mr. Zwick
is the director and formerly served as Chairman of the Southeast/Us Japan
Association (Florida delegation). He has also been an active member of
the Florida Council for International Development. He is a founding member
and former director of the Morikami Museum in Delray Beach, Florida. Mr.
Zwick is the former director and executive vice president of the Japan-America
Society and the Ikenobo Ikebana Society of South Florida.
